Terms of Service

These Terms of Service ("Terms") govern services provided by MightyIQ Inc., a corporation incorporated in Nova Scotia, Canada, operating the buildGRT website build and hosting service.

By submitting an application or enquiry through lead.buildgrt.com or trade.buildgrt.com, you acknowledge these Terms and our Privacy Policy.

Submitting an application or enquiry does not by itself require you to purchase a service or activate a subscription.

These Terms become binding in relation to paid or hosted services when you accept a service proposal, activate a subscription, make payment, or otherwise instruct us to commence services.

If you are entering into an agreement on behalf of a business or other legal entity, you represent that you have authority to bind that entity.

buildGRT, operated by MightyIQ Inc., provides website design, development, hosting and related digital services primarily for small and independent businesses across Canada.

Our website services are available through two primary models.

Subscription fees are billed in advance on a monthly basis in Canadian dollars (CAD), plus applicable taxes. The standard Website Care plan is currently $49 CAD per month, plus applicable taxes. Payment is due on or before each billing date.

• We may suspend hosted services if payment becomes more than 7 days overdue
• Reinstatement following suspension may require payment of outstanding amounts
• Subscription pricing may be adjusted with at least 30 days' written notice
• Continued use after a pricing change takes effect constitutes acceptance of the new pricing
• You may cancel before a pricing change takes effect if you do not wish to continue
• Domain registration, renewal, custom development and optional services may be billed separately

For build-only projects, payment terms will be stated in the applicable proposal, quotation or service agreement and may require a deposit before work begins with the remaining balance due at agreed milestones or before final delivery.

You may cancel your buildGRT hosted subscription at any time by contacting [email protected].

Cancellation takes effect at the end of your current paid billing period. Your hosted website will normally remain active until the end of that period.

After the subscription ends:

• The hosted website may be taken offline
• Hosting, maintenance and associated hosted services cease
• No partial refund is provided for unused days in a paid billing period
• If you prepaid for a longer period, service continues through the prepaid period unless otherwise agreed
• You may request a copy of your eligible website content within 30 days following cancellation

Cancellation of the hosted service does not automatically transfer ownership of buildGRT's website design, source code, frameworks, platform or other intellectual property. If you wish to move away from buildGRT hosting and obtain a transferable website build, contact us to discuss the applicable build-only or website transfer option and pricing.

MightyIQ Inc. may terminate services for material breach of these Terms, including non-payment, abusive conduct or prohibited use. Where a breach can reasonably be corrected, we will generally provide notice and an opportunity to remedy it.

You retain ownership of content you provide to us, including your text, logos, photographs and other business materials ("Your Content"). By providing Your Content, you grant MightyIQ Inc. a non-exclusive, royalty-free licence to use, reproduce, modify as necessary, store and display that content for the purpose of designing, operating and supporting your website and related services.

You represent that:

• You own or have permission to use the content you provide
• Your Content does not infringe third-party intellectual property, privacy or other rights
• Your Content is not unlawful, fraudulent, defamatory or intentionally misleading

You are responsible for the accuracy and legality of Your Content.

MightyIQ Inc. retains ownership of its pre-existing and reusable intellectual property, including its frameworks, software, templates, tools, systems, reusable components, processes and platform technology. Third-party software, fonts, libraries, stock assets and similar materials remain subject to their applicable licences.

You agree to use buildGRT services lawfully and responsibly. You may not use our services to:

• Publish or promote illegal, fraudulent, harmful, abusive or defamatory content
• Violate applicable Canadian federal or provincial law
• Infringe third-party intellectual property or privacy rights
• Distribute malware, ransomware or phishing content
• Send unlawful unsolicited commercial electronic messages through our services
• Engage in unlawful discrimination or harassment

Material violations may result in suspension or termination.

To the maximum extent permitted by applicable law, MightyIQ Inc. and its directors, officers, employees and agents will not be liable for indirect, incidental, special, consequential or punitive damages arising from or related to the services, including loss of revenue, profits, business opportunities or data.

MightyIQ Inc.'s total cumulative liability arising from the services will not exceed the total fees paid by you to MightyIQ Inc. during the three calendar months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

Our collection, use and protection of personal information is governed by our Privacy Policy, which forms part of these Terms where applicable.

Personal information may be processed or stored by third-party service providers, including providers located outside Canada, as described in our Privacy Policy. Where personal information is transferred or stored outside Canada, it may be subject to the laws of the jurisdiction in which it is processed or stored.

Please review our Privacy Policy for further information about how we collect, use, disclose and safeguard personal information.

These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein.

Any dispute arising from these Terms or our services will be subject to the jurisdiction of the courts of Nova Scotia, Canada, except where applicable law requires otherwise. If any provision is determined to be invalid or unenforceable, the remaining provisions will continue in effect.

We may update these Terms periodically. The "Last updated" date at the top of this page identifies the most recent revision.

For material changes affecting an active subscriber's rights or obligations, we will provide at least 14 days' notice by email or another reasonable method. Changes to subscription pricing will be subject to the pricing notice described in Section 3.

If you do not agree to a material change, you may cancel your subscription before that change takes effect.
